Alexey Urazov is appointed Deputy CEO for Strategic Communications and Public Relations of NMG

CJSC National Media Group reports that Alexey Urazov is appointed Deputy CEO for Strategic Communications and Public Relations of the Holding. The manager’s duties include the development and implementation of the Holding’s strategy in the field of public relations, organizing the interaction of the company with internal and external audiences, as well as the development of the Holding’s initiatives regarding corporate social responsibility.

Alexey Urazov has more than a decade of experience in the communications and media sector, including a number of successfully implemented communication support projects for M&A deals, business restructuring, development and implementation of positioning strategies for new businesses, and also projects focused on anti-crisis communication in the corporate sphere.

A. Urazov worked in the news service of Russian Federal Channel Rossiya-1 (RTR). In 2011-2017 he held leading positions in the field of communications in various organizations. In 2011-2012 A. Urazov worked in Mikhailov & Partners Communications Consultancy. From 2012 to 2015 he was Head of Information Policy Department of PJSC NK Rosneft. Until recently he worked as Public Relations Director of RT-Business Development investment fund (SC Rostec).

In 2007 he graduated with honors from the Faculty of History of Lomonosov Moscow State University. He holds a PhD degree in Historical Sciences.

NMG Announces The Acquisition Of AmberData

The National Media Group announces the acquisition of AmberData, one of the largest data management platforms in Russia.

AmberData is a high-tech platform for managing anonymized data about users on the Internet. The platform makes it possible to aggregate user data and divide users into segments based on demographic profile, interests, history of online purchases and several other parameters. These segments can be used for more detailed analysis and deeper understanding of the behavior and needs of the audience, and consequently for the adaptation of content and sites. The use of such technologies allows more effective monetization of the content and sites based on both the advertising and transaction models.

Olga Paskina, CEO of the National Media Group: "The use of Big Data technologies is strategically important for us. Traditional statistics on the audience supplemented with additional data will have an impact on the entire value chain of the holding: from production of content to its subsequent monetization."

At the first stage AmberData technologies will be used for in-depth analysis of the online audience of the holding's assets: REN TV, 5 Channel, sport-express.ru and izvestia.ru. There are future plans to use the platform also in the commercial TV segments based on the IPTV technology and online video. At the same time, AmberData will remain independent in terms of operations and will continue to cooperate with companies outside the NMG.

AmberData was founded in 2011. The company's partners include Rambler, Avito, Segmento, DoubleClick, AdSniper, AdPremium, etc.

Izvestia Turns 100

March 13 marks the centenary of the publication of the first issue of the Izvestia newspaper. To celebrate the anniversary, a newly designed, A2 format fresh issue was published, and the Internet users will be able to enjoy the new design of the izvestia.ru website today.

Arseniy Oganesyan, Editor-in-Chief of Izvestia: "Izvestia starts its 101 year of its history by launching a new website and an updated newspaper layout. These steps are underpinned by the huge renovation work based on the analysis of the best world media practices carried out with the help of the leading Russian experts. At the same time we tried to treat the century-old traditions of the newspaper as carefully as possible. The digital revolution brings rapid changes into the information consumption habits. We are now faced, therefore, with one of the most difficult tasks the newspaper's team has ever encountered —  to adapt to the rapidly changing world, and to give an adequate answer to the paradigm shift in the work of the modern mass media.

Since it was founded, Izvestia has had a unique informational function — the first Soviet Decrees on Peace and on Land were published there. The work of the newspaper was inseparable from the social activity of the period — the exclusive nature of the information published made Izvestia instantaneously popular. Deputies and delegates lined up at the editorial office at Smolny demanding a new issue of Izvestia.
 
The history of the national literature, journalism, and photography is intertwined with the history of the newspaper. Its team included the best writers, journalists, and artists. Vladimir Mayakovsky, Maxim Gorky, Mikhail Zoshchenko, Aleksands Tvardovsky, Konstantin Simonov, Vasily Shukshin, Valentin Rasputin, Andrey Voznesensky, Robert Rozhdestvensky and other authors had published their works in the newspaper. Boris Efimov, a famous cartoonist and one of the oldest Soviet caricaturist, had spent 86 years working there. The Izvestia photographers had created a unique chronicle of the war — the works of Dmitri Baltermanz, Pavel Troshkin, Georgy Khomzor, and Samariy Gurariy are famous all over the world.
 
On the day of its anniversary, the newly designed, A2 format (380x578) version the Izvestia is published. The design and layout of the izvestia.ru website have been renewed.
 
The new layout of the newspaper was created by Depot WPF, the leading Russian branding agency. The web-engineering company ADV participated in the preparation of the website design.
 
The visual solution of the print version of the newspaper makes it very reader friendly and pleasant to read — from flipping through the pages due to the lack of time to paying the content one's full attention.
 
"While working on the renewal of Izvestia, we analyzed a huge number of publications all over the world, determined the main trends in the quality print media design, and based our work on the most progressive examples," says Tatyana Mikolayevskaya, art-director of Depot WPF. "The newspaper has become wider and more respectable. The changes have been introduced not only to its format but also to the logic of the visual presentation of the material, to the layout rules, to the font scheme, and to the colour scale. Among the visual concepts suggested the one closer to web stylistics has won."
 
The brand colours of the publication have also changed: the decision was to replace the previously dominant blue colour with the noble grey and beige. The same colour scale formed the basis for the Izvestia corporate style.
 
Today, on March 13, the newspaper was published with a special application where Izvestia tells the readers about the people, the events and the materials which had brought the publication to glory. An anniversary "100 years —  100 days" section devoted to the history of the newspaper and the country intertwined is now open on the website.

Sales House EvereST-S is Starting the Sale of Ren TV and 5 Channel Advertising

Moscow, Russia – 6 March 2017 – National Media Group (NMG) and CTC Media announce that sales house EvereST-S has started official sales of Ren TV and 5 Channel sponsor and internet advertising. The seller owned by CTC Media will also deal with presale of direct advertising of these TV channels. The National Advertising Alliance will sell direct advertising.

Therefore, EvereST-S will render services to six Russian TV channels: CTC, Domashniy, Che TV, СТС Love, Ren TV and 5 Channel.

NMG Announces Creation Of A Television Broadcasting Segment And Staffing Changes In The Holding

The television broadcasting direction is formed as a part of implementation of the strategy aimed at improving performance of the media holding. New direction will include REN TV and 5 Channel.

Structural changes will allow to centralize business processes management of the TV channels, improve their operative performance and strengthen positioning of the television brands. As a result, NMG will have a single management platform for the strategic development of assets, and REN TV and 5 Channel will maintain their unique program and editorial policy.

The television direction will be managed by Vladimir Tyulin who will also keep the position of the REN TV CEO and will continue to supervise news broadcasting of the media holding. The new CEO of 5 Channel is Yury Shalimov who previously served as the first deputy of the REN TV CEO. The current CEO of 5 Channel Alexei Brodsky decided to leave the company upon the expiry of the six year labor agreement.
The staff appointments come into force on February 1, 2017.

Vladimir Tyulin has served as the CEO of REN TV since 2015. From 2014 he was the deputy CEO of National Media Group. From 2012 to 2014 he was the press secretary and the director of the Department for Information and Advertising of OJSC Rosneft Oil Company. In 2011-2012 he served as the first deputy CEO of REN TV for informational and socio-political broadcasting. At that time he also became the chief editor of REN TV. From 2007 to 2011 he worked for 5 Channel, and in 2008 he was appointed the head of its Directorate for informational and analytical broadcasting.

Yury Shalimov has been the deputy CEO of REN TV since 2015. From 2013 to 2015 he served as the CEO and the general producer of the media holding Krasnaya zvezda. From 2004 to 2013 he headed the Directorate for social and legal broadcasting of the TV company NTV.

NMG Completes The Consolidation Process Of The Izvestia Shares

National Media Group announces the completion of the transaction on purchase of 11% shares of Izvestia, which results in holding ownership share reaching 98.32%.

In accordance with the legislative requirements, NMG will exercise their right to purchase the remaining shares of the minority shareholders at a price determined by an independent appraiser.

Thus, the media holding enters the final stage of the asset consolidation, which implies ownership of 100% of the shares, as well as management and independent publication of the Izvestia newspaper.

On August 1, 2016 the publishing rights to the Izvestia newspaper transferred to Izvestia PJSC. The contract with INEWS, that published Izvestia from June 6, 2011, expired on July 31, 2016. Editorial work is now organized in a new office at the 3rd Pavlovsky Lane, 1.

The editors of Izvestia continue to be led by Arseny Oganesyan, who was appointed the chief editor on February 1, 2016.

National Advertising Alliance Established

JOINT ANNOUNCEMENT

Major Russian media holding companies – VGTRK, Channel One, Gazprom-Media Holding and the National Media Group have completed the incorporation of a consolidated company for advertising sales. National Advertising Alliance LLC (NAA) was established with each partner receiving a 25% stake.

The National Advertising Alliance will consolidate the television advertising sales of the media holdings. 

Hovhannes Sobolev became the Chief Executive Officer of the National Advertising Alliance. The Board of Directors of the National Advertising Alliance includes representatives of the founders – CEO of Channel One Konstantin Ernst, CEO of VGTRK Oleg Dobrodeyev, CEO of Gazprom-Media Holding JSC Dmitry Chernyshenko, CEO of the National Media Group JSC Olga Paskina and NAA CEO Hovhannes Sobolev.

The initiative for the development of consolidated television advertising sales has been in the works since 2014 and gained momentum today, against a backdrop of a downturn in the advertising market and growing broadcaster costs.

The purpose of the alliance lies in providing a single trading platform, which will take into account the interests of the television industry and ensure a balance of interests of the advertisers and broadcasters.

"The main focus of the new company will be the implementation of advertising opportunities of the founding media holding companies and provision of services to advertisers. NMG and Viasat World create a joint venture for distribution of russian viasat family channels

The National Media Group and Viasat World International Group announce the closing of the Russian business of Viasat pay television restructuring process, in which the National Media Group will be 80% of the joint venture carrying out the distribution and development of the local broadcast of the Viasat channels in Russia.

The Viasat Group is among the three largest players in the Russian market in terms of the number of pay TV channels[1] and has the second largest share of watching among the non-terrestrial channels in Russia. As part of the joint venture the Viasat channels will also strengthen its presence in the advertising market of local terrestrial thematic broadcasting.

The joint venture will control all the Russian Viasat channels, including the Viasat Premium HD channels premium package. Russian business of Viasat Group consists of 15 popular pay TV channels, which include the movie, entertainment, documentaries and sports channels: TV1000, TV1000 Action, TV1000 Comedy HD, TV1000 Megahit HD, TV1000 Premium HD, TV1000 Russian Cinema, Viasat Explore, Viasat Golf HD, Viasat History, Viasat Nature, etc. TV1000 Russian Cinema is one of the most popular thematic channels in Russia.

In January 2016 the exclusive right to sell advertising on the Viasat Group TV channels was received by Target Vi from Vi Group division, which is responsible for the broadcast of advertising on thematic channels.

The head of the new joint venture will be Alexei Krol, who is the CEO of the Viasat channels in Russia.  

"The Viasat World Group channels occupy a leading position in the "Cinema" segment, as well as in the educational segment. This is a logical development of the NMG pay TV strategy, leading to educational, sports and children's areas. Channel 5 became one of the five leaders of the national rating

Channel 5 summed up its 2015–2016 TV season. For the second year in a row the channel is among the top five leaders of the national rankings in all key audiences for the market. The share in the "All 25–59" target group from September 2015 to May 2016 was 5.9%, in the "Everyone 18+" group — 6.0%, in the "4+ All" group — 5.7%.

Over the last 5 years Channel 5 has retained the basic core of viewers due to continuous format updating and the effective development of the television series niche. The particular interest to the broadcasting proposals of Channel 5 is shown by female audience, the most in-demand by the advertisers: the channel collects the daily share of 6.0% in the "Women 25–59" target group and 6.3% in the "Women 25–59 with the high income" target group.

Keeping a stable position in Russia, in 2015–2016 the channel significantly increased the performance in the key market of Moscow. So, in the "All 25–59" target group Moscow audience has grown by 21% and was fixed at the level of 5.9% daily share. Substantial audience growth was also recorded in other large cities.
Traditionally, the main drivers of the audience in prime time are detective series "Sled", "Takaya Rabota" and "Detectivy". Record audience interest was aroused by "Posledniy Ment" series premiere, starring Gosha Kutsenko. The series was watched by the national average of 10.3% of viewers aged 25 to 59 years (the share of the show in Moscow was 11.3%).

Channel 5 has also strengthened its position in the news segment. As a result of latest TV season the news program "Seychas" accumulated 8.6% share ("All 25–59"), which is higher than the average share of the channel. "Seychas" summary specials took the third place in the national rankings. The information-analytical program "Glavnoye" with Nika Strizhak confidently secured the fourth place among all analytical programs on Russian television with a share of 7.2% in the "All 25–59" target group.

A special place in the Channel 5 broadcasting structure is occupied by charity projects, such as the "Den Dobrykh Del" telethon and "Den Angela" program. They developed into large-scale television projects, uniting millions of concerned people all over the country.

REN TV relocated to a modern loft at the Vladimir Illich Factory

Architects of the VIF Business Center created one of the most advanced television facilities in Russia.

High-tech and spacious studio pavilions allow shooting traditional news programs as well as music projects and talk shows. Even today, viewers can appreciate all the advantages of the new studios in the daily "News" programs and the weekly summary program "Dobrov on the air."

The modern equipment operates in the high-definition television standard. LED video walls have a horizontal resolution of more than 4 thousand points thus allowing to use them as universal scenery from any distance and in any views. From the panoramic studio, the audience enjoys a view of the REN TV newsroom housing more than 150 employees.

The total floor area is more than 10,500 square meters.

The studio was designed with the collaboration of British design bureau Jago Design who worked with the world's leading newscasters – Sky Sports, BBC, Channel 4, ESPN, and Al Jazeera. Experts from REN TV and Jago Design managed to create world-class broadcasting decorations.

Ren TV is presently one of the leaders in information broadcasting in Russia. This became possible due to reforming the information service. While other channels reduce the number of news programs on the air, REN TV has increased the number of "News" airings – from 4 to 5 per day.

The new IKT management has been elected

A vote on electing the new Chairman of the Council of the Association was taken at the General Meeting of the Industry Committee on TV Audience Measurement. Olga Paskina, the General Manager of National Media Group CJSC, was approved as the Chairman of the Council of the Association. The Council reviewed and approved Sergey Petrov as the IKT General Manager.
 
The general meeting also approved the IKT Council. It will comprise Mikhail Brichkalevich, Sergey Vasilyev, Aleksey Zemskiy, Anton Zlatopolskiy, Oleg Dobrodeev, Sergey Koptev, Olga Paskina, Sergey Petrov, Yuliana Slashcheva, Dmitriy Chernyshenko, Konstantin Ernst and Aleksey Yanchishin.

The Industry Committee on TV Audience Measurement (IKT) in Russia is an association bringing together all industry participants: broadcasters, advertisers and advertising agencies. The purpose of establishing IKT is to create an effective and transparent industrial mechanism for controlling TV audience measurement and developing it in line with the industry's requirements.

In March REN TV share reached 6.3%

In March, REN TV channel achieved the best results in the past 10 years – a share of 6.3% among all Russian TV channels in the All 25-54 audience.

As compared to last March, the average monthly share of REN TV in the target audience has grown by 40%. Over the year, REN TV displayed the greatest audience gain among competitors.

Among in-house projects "Military Secret" and "Territory of Misconceptions" with Igor Prokopenko, as well as the "News" program traditionally enjoyed high popularity. The channel's highest rated programs also included the movies "The Expendables", "Godzilla", "The Chronicles of Riddick", "Man of Steel", and Mikhail Zadornov's concerts.

REN TV achieved high results over the March holidays – the channel offered its viewers a "male alternative" to the women's weekend. On March 7, the TV channel fared well with popular cartoons about Russian hero-warriors, movies "Voroshilov Sharpshooter" and "Company 9", and on March 8 – special programming under the project "Military Secret". It should be noted that on March 7, the TV channel gained a record share of 9.4% and ranked first among all the TV channels in its target audience (All, 25-54).

VGTRK, Channel One, Gazprom-Media Holding and the National Media Group will establish an alliance to sell television advertising.

Major Russian media holdings – VGTRK, Channel One, Gazprom-Media Holding and the National Media Group have agreed to establish a joint company that will market their advertising opportunities. The purpose of the alliance is to set up a single trading platform that will give consideration to the interests of the television industry and ensure a balance of interests of the advertisers and the broadcasters in the crisis-hit economy.
The new company is intended to combine the sales of television advertising of the media holdings.

The company will be established on a parity basis: each partner will receive a 25% stake in the newly establishing advertising sales entity. The alliance intends to hold discussions with СTC Media on the possibility of its joining the alliance after the restructuring of CTC Media is completed. The initiative to establish an alliance for combined sales has been in the works since 2014 and gained momentum at this time against a backdrop of a downturn in the advertising market and the growing costs of broadcasters. The plan calls for completion of all the corporate and legal aspects of the alliance by the end of the second quarter of this year.

Olga Paskina is appointed as CEO of National Media Group

The Board of Directors of CJSC "National Media Group" decided to appoint Olga Paskina as CEO of Media Holding, replacing Alexander Ordzhonikidze.

Before joining CJSC "NMG" Olga Pakina lead the company "Media Alliance ", a joint venture of the NMG and Discovery Communications, created with her participation during 2015 following the implementation of the law on the limitation of the share of foreign shareholders in the broadcasting channel.
 
Olga Paskina has joined the Discovery Networks in 2014 taking the position of senior vice president and CEO of Discovery Networks in the North-Eastern Europe. Prior to joining Discovery Networks Olga Paskina was president and member of the "ProfMedia" Board of Directors, one of the largest private media holdings in Russia, where she worked over  7 years from 2008 to 2013. In 2013 under her supervision there was a deal of accession of "Profmedia" to the media holding "Gazprom-Media".
 
From 2002 to 2008 Olga Paskina worked in leading brewing company "SUN InBev", on the position of director of Legal Affairs, and the Director of Human Resources and of Organizational Effectiveness.
 
Olga Paskina graduated from the Law Faculty of the Volgograd State University and the Economics Faculty of the Volgograd State Technical University. She also has a degree from the Wharton School of Business at the University of Pennsylvania (USA), specializing in Executive Management, and finished Leadership Program at the University of California at Berkeley (USA).
 
Alexander Ordzhonikidze worked in the holding since 2009. During this time the holding's strategy to expand its asset portfolio in a number of media business segments was realized. In particular, there were acquisition of the First Channel and CTC Media, the acquisition of "Russian News Service" and the newspaper "Metro-Petersburg", the creation of a partnership with the "Art Pictures Vision". CJSC "National Media Group" announces the acquisition of a stake of the "Sport-Express" company

CJSC "National Media Group" announces completion of the acquisition of 25% shares of  CJSC "Sport-Express", the founder of one of the largest Russian sports newspaper "Sport-Express".

Integration of "Sport-Express" in the media holding makes possible to attract additional resources for the development of the publication, and will also contribute to the strengthening of its position in the market of sports media. Additionally the deal will allow for strategy support of CJSC "National Media Group" to expand the current portfolio of media assets by the acquisition of leading companies in the segment of industry and specialized media. Terms and conditions of the deal are not disclosed.
 
Alina Kabaeva will take the position of Chairman of the Board of Directors of CJSC "Sport-Express". She is also chairing the Board of Directors of CJSC "National Media Group" since 2014.
 
The "Sport-Express" newspaper was founded in 1991. The newspaper is distributed in more than 309 cities in Russia and abroad. "Sport-Express" has a circulation of 220,000 copies; the audience of one issue exceeds 486,000 readers.

Julia Emm works in the field of communications since 2001. From 2011 to 2016 she was the Head of the Business communications practice in the "Mikhailov & Partners" agency, where she was responsible for the implementation of complex projects for corporate positioning of companies on the Russian market and the CIS countries.

Prior to joining the agency Julia also worked at the PR Inc./DDB agency, OJSC "Sheremetyevo International Airport" and Economic Information Agency "Prime-TASS".

New Release of the Media Holding Company "National Media Group"

On June 22, The Annual General Shareholder's Meeting and a meeting of the Board of Directors of the "National Media Group" CSJC were held under the chair of the Chairperson of the Board of Directors Alina M.Kabaeva.

The Shareholder's Meeting reviewed the annual report and approved the financial statement of the holding company for 2014, as well as re-elected the Board of Directors, appointed the Auditing Commettee and approved the Auditor company.

The newly elected Board of Directors of NMG was joined by Dmitry Mansurov, CEO of "ABR Management" CJSC, succeding Oleg Minaev, Chairman of the Board of Sobinbank OJSC.

Alina M. Kabaeva was elected the Chairperson of the new Board of Directors.

NMG, VGTRK and CTC Media establish a joint production company

In accordance with the agreement between shareholders, each of them gets equal shares in the new company and the total amount of their participation will make 90%. The remaining 10% will be distributed among management.

Ready to cooperate with all market players, the company will in 3-5 years be able to enter the top five largest Russian producers of television and movie content, as well as distribution, providing its partners with a high-quality content.

The priority area of the company will be production of a multi-format content for the most popular genres of entertainment television. In the course of its development the company will look for and acquire small manufacturing studios which have successful experience or potential interaction with TV channels of partners.

The partners jointly decided to appoint Vyacheslav Murugov as the CEO of a new company.

Vyacheslav Murugov said: “For the recent years tremendous changes have taken place in the industry, it is being actively developed and its main engine has been and remains the content, importance of which grows higher every year. Mr. Murugov is a producer. He has worked for television industry since 1997. Since 2001 he was a producer of entertainment programs at REN TV. He has been CTC channel Producer since 2005. In 2008 he was appointed CEO of CTC Media and general producer of CTC Media holding company.

Vyacheslav Murugov is the originator and producer of such TV series as “Daddy’s Girls”, “Ranetki”, “Closed School”, “Molodezhka”, “Kukhnya” (Kitchen), “The Last of Magikyan” , a TV show “Thank God You Have Come!” and the film “Kukhnya v Parizhe” (Paris Kitchen).

National Media Group (NMG) announces financial results of 2013

NMG’s consolidated revenue in 2013 amounted to 14,729 million rubles (excluding VAT), compared to the amount of revenue of 12,121 million rubles (excluding VAT) in 2012. The overall rate of revenue growth in 2013, as compared to 2012, was 22% or 2,608 million rubles in absolute terms.

Furthermore, OIBDA margin in 2013 amounted to 2,721 million rubles, as compared to the OIBDA margin of 1,602 million rubles in 2012. Thus, OIBDA growth in 2013, as compared to 2012, amounted to 1,119 million rubles or 70%, which was higher than company estimates.

Operating profit (EBIT) in 2013 amounted to 2,388 million rubles, as compared to the EBIT index of 1,520 million rubles in 2012. EBIT growth rate in 2013, as compared to 2012, amounted to 868 million rubles or 57%.

Significant growth in 2013 can also be noted in NMG’s net profit that amounted to 1.499 million rubles, as compared to the net profit of 756 million rubles in 2012. Thus, the increase in net profit in 2012 amounted to 743 million rubles or 98%.

National Media Group announces the acquisition of shares in Art Pictures

This deal will pool together resources of NMG and a unique creativeness of Art Pictures Vision team with Fedor Bondarchuk as the creative director to establish a company with a larger scale and a higher level of professionalism on the Russian media market. With this acquisition NMG will integrate the full cycle of TV and film content management — from the production to the distribution.

The approval for this deal from the Russian Federal Antimonopoly Agency was received.

NMG’s consolidated revenue in 2012 amounted to 12 121 million rubles (excluding VAT), compared to the amount of revenue of 9 838 million rubles (excluding VAT) in 2011. The overall rate of revenue growth in 2012 was 23% (2 283 million rubles in absolute terms).

Operating profit (EBIT) in 2012 amounted to 1 520 million rubles, comparing to negative index of EBIT 1 106 million rubles in 2011. EBIT growth rate in 2012 amounted to 414 million rubles.

Furthermore, OIBDA margin in 2012 amounted to 1 602 million rubles, comparing to an index of OIBDA 915 million rubles in 2011. Thus, the growth of OIBDA in 2012 amounted to RUB 687 million rubles.

Significant growth in 2012 can also be indicated in NMG’s net profit that amounted to 756 million rubles, comparing to net profit of 350 million rubles in 2011. Increase in net profit in 2012 amounted to 406 million rubles.

High financial results of the media holding overall, is due to a result of an financial success of each individual asset.
Channel 5 has a record audience growth, increase of 64% in TV-watching in 2012 comparing to 2011. If the average share was 3.3% (audience of 25-59) in 2012 it became 5.4%. In May 2013 watching of Channel 5 achieved its record and amounted to 6.2% (audience of 25-59).

REN-TV shows a sustainable growth of TV-watching, along with its progressive regional development which is a top-priority of REN-TV, and it also allows to increase a market share and to strengthen its positions in regional areas. The attention of the audience to the "Novosti 24″ — breaking news — reflected in getting into the Top-10 chart of TV Channel in citation (data provided by "Medialogia"). Average audience share in 2011 was 5.1% (audience 25-59), and in 2012 became 5.9%. In May 2013 the share increased to 6.1%. Overall audience share increased by 0.8 percentage points, and in relative terms — by 16%.

The newspaper "Izvestiya" ranked number one in print business media according to the citation chart (data provided by "Medialogia"). In April 2013 the citation index increased to 478,25 points — the record achieved by newspaper in the trace of the rating. The sustainable expansion of readers for both printed and on-line versions is seen as well.

The radio station "Russian News Service" ranks second in the citation rating (data provided by "Medialogia") and holds third position in rating of audience amount among informational stations in Moscow with total audience of 533 000 people per day (5,1% of population of Moscow over 12 years-old according to TNS Russia data January-March 2013).

According to the reached agreement, a significant amount of REN TV and Channel 5 content, including both new releases and library titles, will be made freely available on the Videomore portal, in addition to existing CTC Media content.

National Media Group (NMG) announce s financial results of 2011

NMG’s consolidated revenue in 2011 amounted to 9 838 mln rubles (excluding VAT), consistent with the amount of revenue of 7 685 million rubles (excluding VAT) in 2010. The overall rate of revenue growth in 2011 comparing with 2010 was 22% (2154 mln rubles in absolute terms).

Operating profit (EBIT) of 2011 amounted to 1 106 mln rubles, consistent with a negative index of EBIT of RUB 3 016 mln in 2010. EBIT growth rate in 2011 comparing with 2010 amounted to RUB 4 122 mln that coincided with the company’s estimates.

Furthermore, OIBDA margin in 2011 amounted to RUB 915 mln, consistent with a negative index of OIBDA of RUB 2 467 mln in 2010. Thus, the growth of OIBDA in 2011 comparing with 2010 amounted to RUB 3 382 mln.

A significant growth can also be indicated in NMG’s net profit in 2011, which amounted to 350 mln rubles, consistent with a figure of net loss of 3 574 mln rubles for 2010. The increase in net profit in 2011 in comparison with 2010 amounted to 3925 mln rubles.

High financial results of the media holding in total, is a result of an individual financial success of each asset.

Channel 5 has seen a record audience growth. The increase in TV-watching in 2011 in comparison with the beginning of 2010 amounted to 115%. If in September the share was 2.0% (audience of 25-59), in December 2011 it composed already 4,3%. In February 2012 watching of Channel 5 achieved a record and amounted to 5,2%.

REN-TV shows a sustainable growth of TV-watching, along with its progressive regional development which keeps on being of top-priority REN-TV goals and allows to increase a market share and to strengthen its positions in regional areas. The first quarter of 2012 saw a great REN-TV audience growth: in absolute terms its audience share increased by 0,8 percentage points, relative terms — by 16%.

The newspaper "Izvestiya" ranks among TOP-3 of print business media according to the citation rating (data provided by "Medialogia"). The sustainable expansion of readers for both printed and on-line versions is seen as well.

The radio station "Russian News Service" (bought by the holding in July 2011) keeps on ranking second in the citation rating (data provided by "Medialogia") and holds third position in rating of audience amount in information and conversational stations in Moscow with audience of 559 thousand people per day (5,4% of population over 12 year-old according to TNS Russia data for January-March 2012).

NMG announces changes among the shareholders of the mediaholding

As a part of an agreement among active shareholders of National Media Group, RTL Group will exchange its 30% shareholding in mediaholding REN TV to 7.5% of shares in the joint - stock capital of National Media Group.

National Media Group was founded in February 2008 and today is one of the largest private media holdings in Russia, combining the assets of key segments in the Russian media market. The Group includes Petersburg Channel 5TV (72,4%), Channel One (25%), REN TV (68%) and Izvestia (50,19%).

National Media Group
National Media Group was founded in February 2008 combining media assets of the Bank of Russia, A.A. Mordashov, OJSC Surgutneftegas and insurance group Sogaz. JSC National Media Group announces new appointments

The new appointed General Director of the JSC St.Petersbrug Broadcasting company is Alexey Brodsky, who earlier held a position of a deputy head of management of information programs of Channel 1.

Arkady Soloviev, who headed the company since September 2009, will hold a post of Chairman of the Board of Directors of JSC St.Petersburg Broadcasting company. He will focus on strategic development of the company in his new position.

Expert Council of National Media Group begins its work

"TV assets of NMG are actively developing. Channels’ content and formats are being changed, new faces are appearing on the channel, and new meanings are formulated. Moreover, competition in the television market increases. I am confident that under these conditions, expertise and experience of Alexander Rodnyansky will be essential and in valuable for the holding" — said Alexander Ordzhonikidze, General Director of the National Media Group.

Among the tasks assigned to the Expert Council are strategic planning and priority settings for REN TV and Channel 5, as well as support in formation and implementation of the development strategy for the TV channels, and recommendations to increase channels’ economic efficiency.

Expert Council will also assist in project creation and concepts for TV channels, development of strategies to boost ratings of TV programs and in evaluation of the broadcast effectiveness, as well as channels positioning.

National Media Group announces a start up of a new subdivision company NMG-TV

The main goal of NMG-TV will be to develop strategies for the expansion of television channels, optimization of the management structure, programming and content.

Creation of NMG-TV is intended to enhance the interaction between REN TV and Channel 5 that will optimize business processes and provide the audience with better television productions.

Appointed General Director of NMG-TV is Vladimir Khanumyan.

Khanumyan Vladimir Sergeevich was born in 1957. He graduated from Tbilisi State University. From 1996 to 2008 worked for CTC Media. Last position held — Executive Director of CTC Media.

Meeting of the Public Council

The members of the Council listened to a report given by Vladimir Troyepolskiy, the CEO of Petersburg Channel 5 TV and Radio Company, in order to familiarise themselves with the details of the company’s business.

Vladimir Troyepolskiy, the CEO of Petersburg Channel 5 TV and Radio Company, told the members of the Public Council about the channel’s present situation and prospects for development. Victor Kolomiets, a professor at Moscow State University, in his report presented an analysis of the current Russian TV market and discussed the position of Channel 5. Angelo Codignoni, a member of the Council who has made a number of successful TV productions in Europe and for several years was head of the Eurosport channel, also gave a speech. "Having a Public Council within the structure of a private company is an innovation. All of us are sharing in the responsibility for creating a whole new experience," said Alina Kabayeva, the Council’s Chairman. "The Public Council has many objectives, including participation in drafting a concept for development of the National Media Group. But to start with it’s important to familiarise ourselves with the situation in all the Group’s various divisions. Therefore, I suggested that we hold several sessions devoted to the assets which make up the National Media Group. At today’s meeting we discussed the business of Channel 5″. Daniil Dondurei, a Vice-chairman of the Public Council, has also commented on the Council’s work: "The Public Council allows one to take a look at the National Media Group’s business as an outsider. The main advantage of the Council is that its members are drawn from
different professional fields, and the amalgamation of all these contrasting viewpoints allows us to create the most constructive recommendations for the Group’s strategic development. And that is especially important today, given the current difficulties in the world economy which make it so vital to exploit all our competitive advantages."

The Council’s members announced that the first stage in forming and structuring of the Media Group is now complete. The main objective for the next stage is to transform the National Media Group into an efficiently operating business and to continue expanding the range of the Group’s assets.

New Media Holding Group Established

This meeting saw the election of the Council’s Members and approval of its major tasks, the central one being to assist the Group in achieving its socially significant objectives and to draw up recommendations to ensure a balance between public and commercial interests in the course of the Group’s business.

Several prominent Russian cultural figures, a ctors, politicians and business representatives have joined the Council.
Alina Kabayeva, the Olympic champion and Vice-chairman of the State Duma Youth Committee, has been elected Chairman of the Public Council. Lyubov Sovershayeva and Daniil Dondurei are its Vice-Chairmen. In addition to the Russian representatives on the Council its members also include Angelo Codignoni, who has made a number of successful TV productions in Europe, and for several years was head of the Eurosport channel, and a represent ative of the RTL media group — Hans Mahr.
